OVERVIEW

This U.S. Supplemental Privacy Notice (“Supplemental Notice”) outlines the practices followed by Theravance Biopharma Inc. (referred to as “Theravance Biopharma,” “we,” or “us”) regarding the collection, use, and disclosure of personal information from consumers residing in U.S. states with enacted privacy laws, including but not limited to California, Colorado, Connecticut, Montana, Virginia, and Utah (collectively referred to as “U.S. State Privacy Laws”).

Additionally, information about the rights available to Nevada residents regarding their personal data is provided under the section titled “Nevada Resident Rights” at the end of this Supplemental Notice. This Supplemental Notice is complementary to and should be read alongside Theravance Biopharma’s Global Privacy Notice.

USE AND DISCLOSURE OF PERSONAL DATA

We use and disclose Personal Data in accordance with the purposes established in the “How we collect and process your Personal Data” and “Who has access to your Personal Data” sections of the Global Privacy Notice.

 

SALE/SHARING OF PERSONAL DATA AND TARGETED ADVERTISING

Theravance Biopharma does not sell or share Personal Data with third parties for monetary value. However, U.S. State Privacy Laws broadly define “sale” and “sharing.” In this regard, we provide certain categories of Personal Data to third parties to receive targeted advertising-related services. We share browsing information with third-party analytics providers to enhance our websites and improve your user experience. These disclosures may fall under the categories of “sale”, “sharing” of Personal Data or “targeted advertising” as per the applicable U.S. State Privacy Laws.

Opting out: Residents of California, Colorado, and Connecticut have the right to opt out of such “sales.” Additionally, residents of Colorado, Connecticut, Nevada, and Virginia can opt out of targeted advertising. Minors: We do not knowingly “sell” or “share” the Personal Data of individuals under the age of 16.

 

YOUR PRIVACY RIGHTS

Consumers residing in states that have enacted U.S. State Privacy Laws are entitled to specific rights regarding the collection, use, and disclosure of their personal data. These rights may vary depending on the state. If required by the laws of your state, we will provide you with the following rights:

  • Right to opt-out of sharing your Personal Data for cross-context behavioral advertising or, in other states, to opt-out of targeted advertising;
  • Right to data portability, which means that you may request that we provide you a copy of specific pieces of Personal Data we have collected about you in the past 12 months in an electronic format;
  • Right to request to know about the Personal Data we process about you or acknowledge the processing of your Personal Data;
  • Right to request that we correct your Personal Data;
  • Right to request that we delete your Personal Data;
  • Right to request that we limit the processing of your Sensitive Personal Data;
  • Right to opt-out of the processing of your Sensitive Personal Data;
  • Right to appeal the denial of a request; and
  • Right to lodge a complaint with the data protection authority in your jurisdiction.

For consumers in California, once we receive your request to disclose how Theravance Biopharma has collected, used, and shared your Personal Data in the last twelve months, we will verify your identity and provide the following information:

  • Categories of Personal Data collected about you by Theravance Biopharma.
  • Sources from which we obtained your Personal Data.
  • Purposes for using your Personal Data.
  • Third parties with whom we shared your Personal Data.
  • Whether we sold or shared your Personal Data for the benefit of Theravance Biopharma.

No Automated Decision-Making: We do not perform any automated decision-making with the Personal Data that we collect about you and do not plan to do so without further notice.

 

EXERCISING YOUR RIGHTS

To exercise your rights under U.S. State Privacy Laws, please contact us using the details provided in the “Contacting Us” section at the end of this Supplemental Notice.

Verification: When reaching out to us to clearly state the specific right you wish to exercise and provide details about the Personal Data to which your request pertains. Additionally, provide us with sufficient information to enable us to verify that you are the individual from whom we collected Personal Data.

Upon receiving your request, we may need additional information from you to confirm your identity. Any Personal Data disclosed for identity verification purposes will be solely used for that purpose. If we are unable to verify your request, and clear contact details are available, we will contact you for further information. If, after a good faith attempt, we cannot confirm your identity, we may deny the request and provide an explanation for the denial.

Designating an Authorized Agent: You can designate an Authorized Agent to submit requests and act on your behalf by providing us with written permission. If you are acting as an authorized agent for an individual, clearly indicate this when you make a request and specify your authority to act on their behalf.

Responses to Your Requests: We aim to respond to your request within forty-five (45) days of receiving it. However, if necessary and allowed by law, we may extend the response time by an additional forty-five (45) days. In such cases, we will notify you of the extension. No fee will be charged for your request unless it is deemed excessive, repetitive, or manifestly unfounded. If a fee is warranted, we will inform you of the decision and provide an explanation before fulfilling your request.

Please note that under certain circumstances, such as legal restrictions, we may be unable to fulfill these rights.

No Discrimination for Exercising Your Rights: If you choose to exercise any of your rights under U.S. State Privacy Laws, we will not discriminate against you or differentiate our services as a result of your decision.

 

OTHER STATE LAW PRIVACY RIGHTS

Nevada Resident Rights

If you are a resident of Nevada, you have the right to opt-out of the sale of certain Personal Data. To exercise this right, contact us via the contact details below with the subject line “Nevada Do Not Sell Request” and provide your name. Please note that we do not currently sell your Personal Data as defined in Nevada Revised Statutes Chapter 603A.
